One Additional Company Fails Say on Pay, Median Year-Over-Year Change in Companies’ CEO Pay Ratio is 0%Zoom inDownload PDF

157 Russell 3000 companies have held Say on Pay votes thus far in 2019, and the average vote support is 91.5%. One additional company (FuelCell Energy) failed Say on Pay since our last report, bringing the failure rate to 1.9%, or 130 basis points below the failure rate at this time last year. 407 Russell 3000 companies have filed CEO Pay Ratio disclosures for 2019. The median Ratio filed thus far is 81:1 and the median of median employee compensation is $62,366.

The median year-over-year (YoY) change in companies’ CEO Pay Ratio is 0% while YoY changes for the 25th and 75th percentiles are -15% and +15%, respectively. 40 companies have disclosed alternative CEO ratios – 13% of which are higher than their Pay Ratio using SEC methodology. 32 equity proposals have been submitted thus far and have received an average vote support of 85.3%. One equity proposal (Mitek Systems) failed. Average vote support for Director nominees is 96.4%, a slight increase from vote support in 2018.
